Definitions

"Permitted Purpose" means you using the Software or Services to measure or improve your business’ performance and/or financial position;

"Products" means the Software, Templates and/or Modules, whether individually or in combination, including all intellectual property rights therein;

"Runagood User Agreement" means the licence governing use of the Software and/or Services, available at the following URL:

"Software" means the business and finance diagnostic software to be made available to you through the Website, including the BUSINESS DASHBOARD® tool and incorporating the following products: Business (Dashboard) Valuations, Business (Dashboard) Assessments, Business Methods (Modules), Business Forecaster (Trendsetter), and Business Planner (Interactive templates);

"Services" means the Business Implementation Services, namely, mentoring, coaching, training, consultancy, project management and other incidental business and financial services provided by us to you including business documentation, data, reports, and advice related to the same, whether accessed through the Website or otherwise;

"Templates" means a business template document available to purchase on the Website;

"Website Cookie Policy" means the policy which governs how we use cookies in the Website, available at the following URL: www.runagood.com/privacy

"We", "us", or "our" means runagood.com Ltd, company number 07463039, VRN GB123616341, whose registered office is 3B, Shirland Mews, London, W9 3DY. A reference to us in these terms also includes our group companies from time to time; and "You or your" means the person accessing or using the Website or its Content.

These terms of use (together with the documents referred to in it) tell you the terms of use on which you may make use of our website www.runagood.com (the Website). Use of our site includes accessing and browsing the Website and Content and/or registering to use and using the Products and/or Services.

You should read these terms and conditions carefully before using the Website.

By accessing or using this Website or otherwise indicating your consent, you agree to be bound by these terms and conditions and the documents referred to in them.

The Website is for your use only and is made available free of charge apart from certain Software and/or Services, which you will need to pay to use. This will be made clear to you before you accept the Runagood User Agreement.

This Website and all intellectual property rights in it including but not limited to any Content, and Products are owned or licenced by us. Intellectual property rights means copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). We reserve all of our rights in any intellectual property made available or created in connection with these terms and conditions, unless otherwise agreed in writing.

Variation & conflict of terms

These terms are dated 1 February 2017. No changes to these terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these terms and conditions 4 from time to time. Our new terms will be displayed on the Website and by continuing to use and access the Website following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these terms and conditions from time to time to verify such variations. These terms are subject to the Runagood User Agreement. In the event of any conflict between these terms and the Runagood User Agreement, the terms of the latter shall prevail.

 

Applicable Law

These terms of use, their subject matter and formation (and any non-contractual disputes or claims) are governed by English law and are subject to the exclusive jurisdiction of the courts of England and Wales.
